Aggregator Agreement
Last updated
This agreement is between [Legal entity name] ("WORKZA") and the approved applicant ("Aggregator"). It applies from the date WORKZA approves the Aggregator's application.
1. Appointment
WORKZA appoints the Aggregator as a non-exclusive independent referral partner to introduce Workers and Customers to the Platform using the referral code issued in the Aggregator Portal. The Aggregator is not an employee, agent or representative of WORKZA and may not make commitments on WORKZA's behalf.
2. Eligibility and verification
The Aggregator must be at least 18, provide accurate identity, contact and bank details, complete identity verification, and keep a payment PIN secret. WORKZA may refuse or withdraw approval at its discretion.
3. Referrals
A referral is valid when a new user registers with the Aggregator's code at sign-up. Codes may not be applied to existing users, to the Aggregator's own accounts, or through misleading or incentivised schemes. WORKZA may reassign or void referrals obtained in breach of this clause.
4. Commission
- Verification bonus: a fixed amount, currently ₦[300], when a referred Worker completes identity verification.
- Transaction commission: a percentage of WORKZA's service fee on each completed and paid job by a referred Worker or Customer. The percentage depends on the Aggregator's monthly performance level (New, Active, High Performer, Strategic Partner) as published in the Portal; the rate in force when the job is confirmed is locked for that job.
- Commission is recorded as pending and becomes available for withdrawal [7] days after the underlying job is paid, provided the job is not refunded or disputed. Commission on refunded or reversed jobs is reversed.
- WORKZA may change rates and thresholds with 30 days' notice in the Portal; changes do not affect commission already locked.
5. Withdrawals
Available commission may be withdrawn to a verified bank account in the Aggregator's own name, subject to the minimum, maximum and fees shown in the Portal, payment PIN authorisation and WORKZA approval. Payouts are made through WORKZA's payment partner.
6. Conduct
The Aggregator must comply with the Terms of Service and all applicable laws, must not misrepresent WORKZA, its fees or earnings, and must protect the personal data of referred users in line with the NDPA 2023 and WORKZA's Privacy Notice.
7. Taxes
The Aggregator is responsible for its own taxes. WORKZA may deduct withholding tax where required by law and will provide statements of commission paid.
8. Term and termination
Either party may end this agreement with 14 days' notice. WORKZA may suspend or terminate immediately for fraud, breach or legal requirement, in which case pending commission obtained through the breach is forfeited. Commission legitimately earned and available at termination remains payable.
9. General
Governing law: Nigeria. Disputes: as in the Terms of Service. This agreement, the Portal rate card and the Terms of Service are the entire agreement.
